1. Acceptance of Terms
By creating an account, accessing the ielaan website at ielaan.com, or using any ielaan service (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are using the Platform on behalf of a company or agency, you represent that you have authority to bind that entity, and these Terms apply to both you and the entity.
These Terms constitute a legally binding agreement. If you do not agree, please do not create an account or use the Platform. You can contact us at legal@ielaan.com with any questions before accepting.
2. Platform & Eligibility
ielaan is an AI-powered on-demand marketplace that connects advertisers seeking to run campaigns on physical smart LED screens with space owners (restaurants, cafes, retail venues, and similar businesses) who operate those screens.
2.1 Eligibility
- You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction.
- Business accounts must be registered legal entities or sole traders with a valid tax identification number where required by local law.
- The Platform is currently available in Pakistan and Saudi Arabia. Use from other jurisdictions is at your own risk and may be subject to local regulations we cannot guarantee compliance with.
- We reserve the right to refuse registration to any person or entity at our sole discretion, including if we believe access would violate applicable law.
2.2 Account Roles

3. Accounts & Security
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us immediately at security@ielaan.com if you suspect unauthorised access to your account.
- You may not share your account, transfer it to another person, or create multiple accounts for the same legal entity without prior written approval.
- We may suspend or terminate accounts that show signs of fraudulent activity, repeated policy violations, or extended inactivity (>24 months with no bookings).
KYC Verification: space owners who receive cumulative payouts above local regulatory thresholds must complete identity verification (KYC) before further payouts are released. KYC documents are encrypted at rest using AES-256 field-level encryption and are only accessed by authorised ielaan compliance staff.
4. Advertiser Terms
4.1 Campaign Creation
Advertisers may create campaigns, upload ad creatives, set targeting criteria (location, venue type, day-part scheduling), and browse available screen inventory. Each campaign must be associated with a valid payment method before proposals can be sent.
4.2 Ad Creative Standards
- Creatives must comply with the content standards in Section 9 and pass our automated AI moderation review before going live.
- Accepted formats: MP4 (H.264, max 50 MB), JPEG/PNG (max 5 MB). Minimum resolution 1280×720. Safe zone: 5% margin on all edges.
- Creative assets are stored for 30 days after campaign expiry. Save assets to your library if you wish to reuse them.
4.3 Targeting & Impressions
ielaan provides estimated impression counts derived from venue foot-traffic data and device heartbeats. These are estimates only and are not guaranteed delivery figures. MVP-era impression data is based on venue-reported daily estimates; camera-based audience measurement is a post-MVP feature and is not active.
4.4 Advertiser Fees
ielaan charges advertisers a platform service fee on each confirmed booking. The current fee schedule is published on the Pricing page. Fees are deducted from the booking amount before escrow is released to the space owner.
5. Space Owner Terms
5.1 Listing Requirements
- You must own or have the legal right to operate the physical venue and smart-screen device listed on the Platform.
- Devices must be genuine smart LED screens running the ielaan Android client. Misrepresenting device specs or location is grounds for immediate account termination.
- Listing location must match the actual venue address. Geo-coordinates are validated via Google Maps at submission. Discrepancies of more than 100m will trigger a manual review.
- Venue photos must be current, accurate, and taken within the last 12 months. Stock photos are not permitted.
5.2 Device & Uptime Obligations
- Your device must maintain a stable internet connection and send heartbeats at least every 60 seconds during active campaign periods.
- If your device goes offline during a confirmed booking for more than 10% of the contracted hours, a proportional credit may be issued to the advertiser from your payout. See Section 10 for the dispute process.
- You must keep the ielaan Android client updated to the latest version within 14 days of a forced-update notification. Outdated clients may be suspended from the network.
5.3 Payout Schedule
Payouts are released once the 14-day dispute window closes (up to 14 days after campaign end) and no dispute has been raised, or immediately upon dispute resolution in your favour. Payouts are processed via Stripe Connect (international) or local PSP partners (Pakistan / Saudi Arabia). Processing times vary by payment provider (typically 1–5 business days).
Payouts are denominated in the currency of your listing (PKR or SAR). ielaan is not responsible for currency fluctuations or bank fees applied by your financial institution. Tax obligations on earnings are entirely your responsibility.
6. Bookings & Proposals
The booking lifecycle on ielaan proceeds as follows:
- Proposal sent: the advertiser selects a listing, chooses date/time slots, uploads a creative, and sends a proposal. No payment is charged at this stage.
- Owner review: the space owner has 48 hours to accept, reject, or counter-propose. Unanswered proposals auto-expire after 48 hours.
- Acceptance & payment: on owner acceptance, the advertiser proceeds to checkout. Payment is captured and held in escrow immediately.
- Campaign runs: the Android client displays the ad during confirmed slots. Heartbeats and play-events are logged to the tracking system.
- Payout release: once the 14-day dispute window closes (absent a dispute), escrow is released to the space owner minus platform fees.

7. Payments & Escrow
ielaan acts as an escrow agent — it holds advertiser funds in trust until delivery is verified, then releases payment to the space owner. ielaan is not a bank or payment institution.
- Accepted payment methods: credit/debit cards (Visa, Mastercard) via Stripe, and local payment methods (EasyPaisa, JazzCash for Pakistan; mada, STC Pay for Saudi Arabia) via our PSP integrations.
- All transactions are recorded in PKR or SAR. Stripe may apply currency conversion if your card is issued in a different currency.
- We never store raw card numbers on ielaan servers. Payment data is tokenised by Stripe and subject to their PCI-DSS compliance.
- In the event of a failed payout (e.g. closed bank account), ielaan will hold funds for up to 90 days and attempt re-delivery. Unclaimed funds after 90 days are subject to our abandoned-funds policy.
ielaan platform fees are non-refundable once a booking is confirmed, except where ielaan is at fault (e.g. a platform outage causing campaign non-delivery). Fees are clearly disclosed at checkout before you confirm payment.
8. AI Creative Studio
The ielaan AI Studio allows advertisers to generate ad creatives using OpenAI’s image generation and text models. By using this feature, you agree to the following additional terms:
- You own the output: AI-generated creatives are assigned to you upon generation. ielaan makes no claim to ownership of your generated content.
- Prompt responsibility: you are responsible for the prompts you submit. Prompts containing content that violates Section 9 (Content Standards) will be rejected by our safety filters.
- Third-party IP: do not use prompts designed to replicate real persons, trademarks, or copyrighted works without authorisation. ielaan’s AI moderation will flag likely violations, but you bear ultimate responsibility for IP clearance.
- Generation credits: each image generation consumes credits from your campaign budget. Credit costs are shown before generation. Credits are non-refundable once consumed.
- Moderation: all AI-generated content is automatically reviewed by our moderation pipeline before it can be deployed in a campaign. Content that fails moderation cannot be used on the Platform.
9. Content Standards
All content uploaded or generated on ielaan — including ad creatives, listing photos, business descriptions, and messages — must comply with the following standards.
9.1 Prohibited Content
- Content that is sexually explicit, pornographic, or obscene.
- Content that promotes violence, terrorism, hate speech, or discrimination based on race, religion, gender, nationality, or sexual orientation.
- Alcohol, tobacco, vaping, or gambling advertising (prohibited in public display contexts under Pakistani and Saudi laws).
- Pharmaceutical or medical-device advertising without verifiable regulatory approval in the target jurisdiction.
- Content that is defamatory, fraudulent, deceptive, or misleading about a product, service, or third party.
- Content that includes personal data of individuals without their explicit consent (e.g. real name + face + location).
9.2 Enforcement
ielaan uses a combination of automated AI moderation (OpenAI Moderation API) and human review for flagged content. Violations may result in:
- Immediate removal of the offending content.
- Campaign suspension pending review.
- Account suspension or permanent ban for repeated or severe violations.
- Reporting to relevant authorities where legally required.
10. Disputes & Resolution
Either party to a booking (advertiser or space owner) may raise a dispute within 14 days of the campaign end date. Disputes raised after this window are not eligible for escrow-hold and will be assessed on a goodwill basis only.
10.1 Grounds for Dispute
- Non-delivery: device was offline for >10% of contracted hours.
- Wrong creative: an ad other than the approved creative was displayed.
- Unauthorised modification: creative was altered without advertiser consent.
- Spec mismatch: the actual screen or venue differed materially from the listing description.
10.2 Resolution Process
- Automated review (0–24h): our system queries device heartbeat and play-event data to generate an automated findings report.
- Human review (24–72h): if the automated findings are inconclusive, an ielaan mediator reviews evidence uploaded by both parties.
- Decision: the mediator issues a binding decision. Escrow is released, split, or refunded accordingly.
Dispute decisions are final and binding within the Platform. For disputes involving amounts above PKR 500,000 / SAR 7,000, either party may escalate to formal arbitration as outlined in Section 15 (Governing Law).
11. Intellectual Property
11.1 ielaan IP
The ielaan name, logo, Platform software, design system, and all related intellectual property are owned by ielaan Technologies and protected by copyright, trademark, and other applicable laws. You may not copy, reproduce, distribute, or create derivative works without prior written consent.
11.2 Your Content
You retain ownership of all content you upload to ielaan (ad creatives, listing photos, business information). By uploading, you grant ielaan a limited, non-exclusive, royalty-free licence to store, display, transcode, and distribute your content solely for the purpose of operating the Platform and fulfilling your bookings.
This licence terminates when you delete the content or close your account, subject to our data-retention obligations under applicable law.
11.3 DMCA / Copyright Takedowns
If you believe your copyrighted work has been used on the Platform without authorisation, contact legal@ielaan.com with a description of the allegedly infringing content and your ownership evidence.
12. Agencies
Agencies may create and manage campaigns on behalf of advertiser clients under a shared agency account. The agency account holder (“Agency Admin”) accepts full responsibility for all activity by their team members (“Agency Members”) on the Platform.
- The Agency Admin may add or remove members, and set per-member permissions. ielaan is not responsible for internal access-control decisions made by the agency.
- All billing is consolidated under the Agency Admin account. Payment methods must be registered by the Agency Admin.
- Agencies must ensure that client advertisers have consented to their campaigns being managed via ielaan. Representing client campaigns without authorisation is grounds for termination.
13. Termination
13.1 By You
You may close your account at any time via Account Settings. Active campaigns and pending escrow amounts will be resolved before closure is finalised. Closure requests with active bookings will be processed within 30 days.
13.2 By ielaan
We may suspend or terminate your account immediately, without notice, if:
- You violate these Terms or any applicable law.
- We detect fraudulent activity on your account.
- You repeatedly post content that violates our Content Standards.
- You fail to pay outstanding amounts owed to ielaan or counterparties.
On termination, your access to the Platform ceases immediately. Funds legitimately owed to you (net of outstanding fees or dispute outcomes) will be disbursed within 14 business days.
14. Liability & Indemnity
14.1 Limitation of Liability
To the maximum extent permitted by applicable law, ielaan’s total cumulative liability to you for any claim arising from or related to the Platform shall not exceed the greater of: (a) the total fees you paid to ielaan in the 12 months preceding the claim, or (b) PKR 50,000 / SAR 700.
ielaan is not liable for: indirect, consequential, special, incidental, or punitive damages; loss of profit, revenue, data, or goodwill; or damages resulting from third-party services (Stripe, OpenAI, AWS, Google Maps, FCM).
14.2 Platform as Intermediary
ielaan is a marketplace intermediary — not a party to the advertising transaction between advertiser and space owner. We do not guarantee the quality of venues, the accuracy of impression estimates, the performance of ad campaigns, or the reliability of third-party devices. Contracts for ad placement are formed directly between advertisers and space owners; ielaan facilitates and escrows those transactions.
14.3 Indemnity
You agree to indemnify and hold harmless ielaan, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the Platform in breach of these Terms; (b) your content violating third-party rights; or (c) your advertising activities causing harm to consumers or third parties.
15. Governing Law
These Terms are governed by the laws of the Islamic Republic of Pakistan for users based in Pakistan, and by the laws of the Kingdom of Saudi Arabia for users based in Saudi Arabia, without reference to conflict-of-law principles.
Any dispute that cannot be resolved through our internal process (Section 10) shall be submitted to binding arbitration under the rules of the relevant national arbitration body (CIAC for Pakistan; SAAC for Saudi Arabia). Arbitration shall be conducted in English, with a single arbitrator.
Nothing in this Section prevents ielaan from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or prevent irreparable harm.
16. Changes to Terms
We may update these Terms from time to time to reflect changes in the Platform, applicable law, or our business practices. Material changes will be communicated via email and an in-app banner at least 14 days before they take effect.
Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must close your account before the effective date.
